Description
Our client within the Public Sector, seeks an experienced Company Secretary to be based within their East London head office – six (6) month contract vacancy.
MINIMUM EXPERIENCE AND SKILL REQUIREMENTS:
- Completed B Com / LLB Degree (relevant Financial or Legal Tertiary Qualification)
- CIS certification - highly advantageous
- Minimum 5 years’ experience in a similar role, working as a Company Secretary in the public sector
DUTIES AND RESPONSIBILITIES:
The successful candidate would be required, but not limited to, Guiding the Board and the Organisations on Corporate Governance matters, ensuring compliance with all legislation.
- Manage Board Governance through the management of statutory documentation within the organisation, from minutes, articles and legislation
- Follow up on implementation of required actions and compile governance status reports
- Evaluate the effectiveness/performance of the Board and Board Committees
- Manage board development through the facilitation of the induction of Directors on the board
- Facilitate training and development of senior personnel in accordance with the organisations development policy
- Ensuring compliance through review and analysis of current legislation and regulations to determine and confirm the areas of compliance
- Monitoring business against the compliance requirements and taking rectification actions where required
- Completing compliance actions within the allocated time frames
- Developing a corporate governance framework and establishing terms of reference for all committees inclusive of committee function requirements
- Ensuring subsidiary company policies are in place, making necessary recommendations to action remedies
- Participating in Board Committee meetings and taking minutes of committee meetings, distributing the actions to be implemented to various stakeholders
Salary: Market Related Cost to Company (in line with candidate qualifications and experience)
