Join this established firm and assume overall responsibility for the execution of Group Company Secretarial, Legal Services and Head of Governance roles.

Duties & Responsibilities

•Responsible for the promotion of good governance to achieve ethical and effective leadership outcomes aimed at meeting the objectives of the Group.
•Advise the Board on the governance framework and obligations to support strategic decision-making processes and critical issues.
•Responsible for leading the governance and secretarial function in a manner that supports and guides the organization’s mission as defined by the Board.
•Preparation and implementation of the annual schedule for meetings and work plans of the Board, sub-committees, Boards of subsidiaries, general management and various other committees. Actively manage the preparation of all committee packs.
•Develop and maintain all governance policies related to the Board and its sub-committees.
•Induction and orientation of new directors and experts serving on the Board’s sub-committees.
•Ensure that directors and executive management are kept abreast of developments pertaining to their fiduciary duties, and in particular arrange Board training sessions.
•Responsible for the management and formulation of Board assessments.
•Responsible for the management of the Board members remuneration (meetings and annual fees).
•Ensure that the proceedings of the Board, EXCO, and Board sub-committee meetings are properly minuted, and minutes of meetings are circulated to Directors or members timeously.
•Responsible for management of the Social and Ethics committee packs.
•Ensure that the proceedings of EXCO sub-committees are properly minuted, and minutes of meetings are circulated to the members timeously.
•Review all new governance-related laws and regulations as well as amendments to existing legislation to identify those relevant to or affecting the Group and communicate such to the Board and management.
•Responsible for the integrated report, including ensuring compliance with the King IV requirements.
•Ensure that an Internal Audit function is maintained as an independent, objective assurance and consulting activity designed to add value and improve the organisation's operations.
•Coordinate internal auditing activities and plans with other internal and external providers of assurance and consulting activities to ensure proper coverage and minimize duplication of effort.
•Take the strategic lead and executive oversight of the specialist and forensic services provided by the Group.
•Development and management of the Group’s B-BBEE strategy.
•Compile and submit B-BBEE progress reports and scorecard to the Board and relevant committees.
•Ensure that the Group adheres to the requirements of the Charter of the Financial Sector in relation to - Development of black economic empowerment, access to financial products and services and Empowerment Finance.
•Develop, lead and maintain a motivated and high-performance team.
•Implement performance management in the team through setting smart targets that contribute to the Group’s objectives. Tracking and monitoring the team’s performance.
•Mentor, manage and develop direct subordinates - including continuously providing feedback and coaching to ensure that team members perform at optimum productivity levels.
•Create and maintain a climate conducive to performance to ensure that the departments deliver against objectives.
•Perform any other related duties as requested by management.

Desired Experience & Qualification

QUALIFICATION REQUIREMENTS FOR THIS POSITION:
•A Legal degree.
•A member of any related industry professional bodies will be an added advantage.
•MBA or an executive development program will be advantageous.

EXPERIENCE AND KNOWLEDGE REQUIRED FOR THE POSITION:
•10 Years’ experience as a Group Company Secretary.
•8 Years at a senior management role with a proven track record of engaging at a strategic level and successful people leadership.

COMPETENCIES REQUIRED FOR THE POSITION:

•Knowledge and understanding of Corporate Governance principles and practices.

Package & Remuneration

R1 506 767 to R2 000 000 per annum
